About the role:

 

Key Member of SEC/Governance Team – Works closely with Securities & Corporate Governance team with respect to:

  • Primary role - providing support for (i) certain securities law matters, including Section 16 reports and New York Stock Exchange filings; and (ii) corporate governance matters with respect to the Board of Directors and/or its Committees (the Board); Board material preparation; meeting preparation and execution.
  • Secondary role – providing support for general corporate and other securities law and governance matters and projects.

 

Key Responsibilities:

 

In line with primary and secondary roles, as applicable, work closely with the Securities & Corporate Governance team and cross-functionally, with other subject matter experts, with respect to:

 

Securities

  • Assists with insider trading compliance, Section 16 reporting, as well as other filings with the Securities and Exchange Commission.
  • Provides support concerning securities laws, rules and regulations, NYSE listing requirements and Delaware law.
  • Interfaces with members of the legal and finance teams on securities law matters.

 

Corporate Governance

  • Assists with supporting the Corporate Secretary and the Board on matters of corporate governance process and policy.
  • Assists with preparation for Board meetings, including coordinating with senior management to ensure that appropriate matters are included in meeting agendas and coordinating materials for Board books; preparing and delivering Board materials via BoardVantage/Diligent or similar platform.
  • Assists with related-party transaction monitoring process.
  • Coordinates director and officer questionnaire process.  
  • Assists with annual proxy and stockholders’ meetings, including coordinating with members of management to ensure successful execution.
  • Supports director orientation, continuing education, and training programs.
  • Support special projects as needed, including research, organization, and project management

 

Requirements:

 

  • Bachelor’s degree and/or paralegal certificate from an accredited institution

Outstanding academic record with at least five years of general corporate paralegal experience at a law firm and/or at a public company. 

  • Excellent attention to detail, legal research and writing, communication and project management skills. 
  • Process oriented, able to multi-task, team player and ability to work independently with limited oversight. 
  • Good judgment, keen diplomacy and strong interpersonal skills. 

 

Preferred Qualifications

  • Securities and governance paralegal experience preferred
  • Notary
