Legal Specialist III, BD/VC Transactions

About the Role:

At Boston Scientific, the corporate legal team is seeking candidates for a legal specialist role within the business development legal team.  This candidate will support four attorneys and assist each with execution of new investments and acquisitions in furtherance of Boston Scientific’s strategic goals.  The ideal candidate must be detail oriented, highly collaborative, and comfortable operating in a high-pressure environment with competing priorities.  Top-tier organizational skills and self-motivation to manage various processes without the need for continuous support will be key.  We are looking for a candidate that has strong proficiency in MS Office and embraces technology to help identify and execute team wide initiatives aimed at efficiency.   

The work mode for this position is hybrid (on-site minimum of 3 days a week) at the BSC campus in Marlborough, MA.

Your Responsibilities Include:

  • Coordination of final transactional documents, outgoing wire disbursements and collection of signatures from executive leadership teams.
  • Management of venture financing and acquisition closing process, including coordination with internal and external partners and advisors regarding organization, execution and delivery of closing deliverables.
  • Tracking and managing key transactions and legal support timelines, including cross-functional work with treasury, accounting and senior leaders to prepare and document funding commitments and disbursements, as well as tracking requests/responses from governmental authorities (e.g., FTC requests/inquiries).
  • Team management of upcoming business development deadlines and forward-looking action items.
  • Assistance with document collection matters related to global regulatory filings.
  • Management of files and records in connection with acquisition data rooms and post-closing inquiries.
  • Coordination and tracking of required compliance filings and coordination of payroll matters arising from new company acquisitions.
  • Management of legal notice corporate mailbox and cross-functional disbursement of matters requiring company legal action.
  • Managing sensitive and confidential information and ensuring information is shared with internal and external individuals in an appropriate manner.
  • Creating and managing matters in document management and legal tracker (e-billing system for legal fees) and handling outside counsel conflict checks.
  • Making decisions using independent judgment under only general guidelines.

What We’re Looking For:

Required Qualifications: 

  • Bachelor’s degree required.
  • Minimum of 3 years’ related work experience supporting numerous legal team members in a fast-paced, deadline-driven environment.
  • Strong proficiency in MS Office (e.g. Outlook, Word, Excel, TEAMS & PowerPoint).
  • Highest ethical standards. Discretion and sound judgment when dealing with confidential and/or sensitive information.
  • Ability to adopt and utilize new technology resources.
  • Ability to take and quickly put into action direction to meet time pressure deadlines.
  • Attention to detail.

  • Self-directed autonomy that yields results without manager assistance.
  • Strong display of professionalism, and commitment to team and job.
  • Clear and concise communication; strong customer-service orientation.

Compensation will be commensurate with demonstrable level of experience and training, pertinent education including licensure and certifications, among other relevant business or organizational needs. At BSC, it is not typical for an individual to be hired near the bottom or top of the anticipated salary range listed above.

 

Compensation for non-exempt (hourly), non-sales roles may also include variable compensation from time to time (e.g., any overtime and shift differential) and annual bonus target (subject to plan eligibility and other requirements).

 

Compensation for exempt, non-sales roles may also include variable compensation, i.e., annual bonus target and long-term incentives (subject to plan eligibility and other requirements).
